Terms
The agreement between you and IDOFO
Short, in sentences, and honest about the parts that are not promises. The sections that limit what IDOFO owes you are in plain words rather than capital letters, because the point of them is to be understood.
1.1. This agreement
These Terms of Service are an agreement between you and Boostlete LLC, a Wyoming limited liability company, which provides the IDOFO service ("Boostlete", "we", "us"). They apply when you create an IDOFO account or use the IDOFO service.
By creating an account or using the service you agree to these terms. If you are agreeing on behalf of a business, you are confirming that you can bind that business, and "you" means that business.
Some parts of the service have additional terms, listed in section 20. Where those conflict with these terms, section 20 says which controls.
2.2. What IDOFO is
IDOFO is an assistant that answers telephone calls, books appointments in a calendar you configure, takes messages, and shows you what needs a person. It works from the information you give it — your hours, your services, your prices, your answers to common questions.
IDOFO is software. It is not a person, not a professional adviser, and not a substitute for one. It does not exercise judgement on your behalf beyond the rules you set.
3.3. Your account
You are responsible for what happens under your account, for keeping your password to yourself, and for the people you invite into it. Two-step verification is available on every account and we recommend it.
A workspace is the boundary around your data. People you invite get a role, and a role decides what they can see — a front-desk role cannot read call transcripts, and a billing role cannot read messages.
You must be old enough to enter a contract where you live. The service is not for children.
4.4. Your information, and who owns it
Everything you put into IDOFO stays yours: your business details, your records, your contacts, your calls and messages, your pages. We do not acquire ownership of it.
You grant us the permission we need to operate the service for you — to store your information, to show it back to you and the people you authorise, to let your assistant use it to answer a caller, and to send it to a service you have connected. That permission exists to run the service and for nothing else.
We do not use one customer's information to serve another customer, and we do not use it to train a general-purpose machine-learning model.
You are responsible for having the right to put the information into the service, and for the accuracy of what you tell your assistant to say.
5.5. Automated features, and what they can and cannot do
Your assistant is automated, and automated systems make mistakes. It can mishear a caller, misunderstand a request, or answer a question in a way you would have answered differently. You should check anything that matters.
What your assistant says comes from the information you configured. It is built to say when it does not know something rather than to guess, and to offer to take a message instead.
What your assistant is allowed to do is decided by us, in software, outside the model — not by the model. Booking, cancelling, transferring a call and taking a message happen only where your settings permit them. Actions that could not be undone are not taken automatically.
Your assistant does not give medical, legal, financial or other professional advice, and it will not attempt to. Where a caller asks something clinical, it says it is passing the question to a person and records a message for you in the caller’s own words.
Depending on your settings, IDOFO may send the text of a conversation to a third-party service in order to phrase a reply or to speak it aloud. Which services those are is listed in the Subprocessors page, and you can see what is connected to your own account in your settings.
6.6. Phone and communications
IDOFO is not a telephone company. Calls are carried by a licensed communications provider, and the service depends on that provider being available. We do not warrant that calls will always connect or that audio will always be understood.
A number made available to you through the service is assigned to you for as long as your subscription is active and in good standing. You may keep it, forward calls to it from a number you already have, or ask us to help move a number you own to the service.
Moving a number in or out depends on your current and receiving providers and on their requirements. You confirm that you are authorised to request a transfer of any number you ask us to move, and you are responsible for the accuracy of the information you give for that purpose. Do not cancel your existing telephone service until a transfer is complete.
If your subscription ends, a number assigned to you through the service may be released. You may ask to transfer it away before that happens. We will not release a number while a transfer you have started is in progress.
Charges for calling and messaging depend on use. Taxes, regulatory charges and surcharges a provider passes on are your responsibility where they apply.
7.7. Emergency calling — read this
IDOFO answers calls that come **to** you. It is not a telephone line for making calls, and it must not be relied on to reach emergency services.
Where a number assigned to you supports emergency calling, it works only if you have given us a correct service address for the physical place that number is used, and only once the provider has confirmed that address. An address that is wrong, out of date, or not yet confirmed can send responders to the wrong place.
Emergency calling does not work during a power or internet failure at your premises, if the provider is unavailable, or if the number has been moved and the address has not been registered again.
You should always keep another way to reach emergency services.
8.8. Services you connect
You can connect a calendar and other outside services. When you do, you authorise us to exchange the information that connection needs, and your use of that service is governed by that provider’s own terms.
We ask for the narrowest access that will do the job, and the consent screen states what we can and cannot see. We touch only the calendar entries the service created; there is no function that finds one of your existing entries and edits it.
A connection can stop working for reasons outside our control — a revoked token, a changed password, a provider outage. Where that happens the service says so rather than failing silently.
9.9. Public pages
An IDOFO Page is a public web page you publish. You are responsible for what is on it, and it must comply with section 11.
A page address is yours while your account is active. If you rename a page, the old address keeps working and is never given to anybody else — a printed code or a sign carrying it must not start pointing at a stranger.
We may remove a page, or suspend it, where it breaches section 11 or where we are required to.
10.10. Plans, fees and payment
Paid plans are billed in advance for the period you choose, and renew automatically until you cancel. You can cancel at any time; cancellation takes effect at the end of the period you have paid for.
Usage-based charges — calling minutes, additional numbers, and other metered items — are billed for the period in which they are used. Your plan states what is included.
Prices can change. We will tell you before a change affects a renewal, and you can cancel instead of renewing.
Fees are exclusive of taxes, which are added where they apply. Payment is processed by our payment provider; we do not store your card details.
If a payment fails we may suspend paid features after telling you. We do not delete your information because a payment failed.
11.11. Acceptable use
You may not use IDOFO to do any of the following, or help anybody else to:
- Break the law, or help somebody break it.
- Send unsolicited calls or messages, make automated calls where you do not have the consent the law requires, or use the service for telemarketing that a recipient has not agreed to.
- Impersonate another person, business or organisation, or misrepresent who is calling or who you are.
- Handle protected health information without first telling us that you do and completing the steps that then apply.
- Publish or transmit content that is unlawful, that harasses or threatens somebody, that sexualises a child, or that infringes somebody else’s rights.
- Upload malicious software, or attempt to interfere with, overload, probe or gain unauthorised access to the service or to another customer’s account.
- Reverse engineer the service, resell it, or use it to build a competing product, except where the law says you may.
- Use automated means to extract data from the service beyond the documented interface, or exceed a rate limit deliberately.
- Claim an endorsement, certification or relationship that does not exist.
12.12. Health information
IDOFO is not a healthcare-specific product, and most accounts never handle health information. If your organisation does, you must say so in your settings before it reaches the service.
When you do, additional terms apply: a Business Associate Agreement between your organisation and Boostlete LLC, which you sign inside the product, and the controls that follow from it. Until it is signed, and until the outside services involved are cleared for that information, the features that would carry it are not available — and the product tells you which ones and why.
Boostlete LLC does not claim to be HIPAA compliant, and nothing in the service makes your organisation compliant. What the Business Associate Agreement does is set out the obligations Boostlete LLC takes on.
13.13. Referral and partner programs
Where IDOFO offers a referral or partner program, participation is governed by that program’s own terms, which are published and which you accept when you join.
A reward is earned on a genuine new subscription that is paid for and kept. Rewards are not earned on your own account, on an account you control, or on a subscription that is refunded or charged back.
Nothing in any program rewards the referral of a patient, or relates to a clinical service, a treatment or a prescription. Programs reward the introduction of a business to software and nothing else.
14.14. Security and your part in it
We operate the controls described on the Security page. Those are statements of what we do, not a warranty of any outcome, and no system is beyond attack.
Your part matters: keep your password to yourself, use two-step verification, give people the narrowest role that lets them do their job, and remove access when somebody leaves. Tell us promptly if you think an account has been compromised.
15.15. Availability and changes
We aim to keep the service available and we do not promise it always will be. Maintenance, provider outages and faults happen.
We improve and change the service. We will not remove a material feature you are paying for without telling you; where we do, you may cancel and we will refund the unused part of what you have paid for it.
We may suspend a feature immediately where continuing to run it would be unsafe, unlawful, or would breach an obligation we owe somebody. Where that happens the product says which feature and why.
16.16. Suspension and termination
You can close your account at any time, and you can take a copy of everything in it first.
We may suspend or close an account that breaches these terms, that is being used unlawfully, or where we are required to. Except where the breach is serious or where we cannot, we will tell you first and give you a chance to put it right.
When an account closes you lose access to the service. You can export your information before closing, and you can ask us to erase it. Some records are kept where the law requires it or where we need them for security or for an agreement we are still bound by — the Privacy Policy says which.
17.17. What we do not promise
The service is provided as it is. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not promise that the service will be uninterrupted or error-free, that your assistant will always understand a caller, that a call will always connect, or that an automated action will always be the one you would have taken.
Nothing in these terms excludes a liability that cannot lawfully be excluded.
18.18. Limitation of liability
To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of these terms — whether or not it was warned they were possible.
To the extent the law allows, Boostlete LLC's total liability arising out of these terms is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim.
These limits do not apply to a party’s liability for fraud, for wilful misconduct, or to any liability that cannot lawfully be limited.
19.19. Indemnity
You will defend and indemnify Boostlete LLC against a third-party claim arising from your use of the service in breach of these terms, from content you published, from information you put into the service that you had no right to use, or from calls or messages made using the service without the consent the law required.
We will tell you promptly of any such claim, let you control the defence of it, and cooperate reasonably. You will not settle a claim in a way that imposes an obligation on us without our agreement.
20.20. Other terms, and which one controls
The following also form part of your agreement with us where they apply to you:
- The Privacy Policy, which describes what we hold and why.
- The Data Processing Addendum, where you need a written processor agreement for personal data we handle on your behalf.
- The Business Associate Agreement, where your organisation handles protected health information and has signed it.
- The Partner Program Agreement or the Customer Referral Program Terms, where you take part in one.
- Where a signed Business Associate Agreement and any other document conflict, the Business Associate Agreement controls as to protected health information, and the other document controls in all other respects.
- Where a Data Processing Addendum and the Terms of Service conflict, the Addendum controls as to the processing of personal data on a customer’s behalf.
- Where an order, quote or plan description and the Terms of Service conflict, the order controls as to price, term and quantity only.
- In all other cases the Terms of Service control.
21.21. General
Changes to these terms. We may change these terms. Where a change is material we will tell you before it takes effect, and continuing to use the service after that means you accept it. Each version has a number and a date, and the version you accepted is recorded.
Electronic communications and agreement. You agree that we may communicate with you electronically, and that an agreement formed electronically is as binding as one on paper.
Assignment. You may not assign these terms without our agreement. We may assign them to an affiliate or in connection with a merger or sale of the business.
Entire agreement and severability. These terms, together with the documents in section 20, are the whole agreement between us about the service. If a provision is unenforceable, the rest stands.
No waiver. Not enforcing a right does not waive it.
These terms are governed by the laws of the state of California, without regard to its conflict-of-laws rules. Any dispute will be brought in the state and federal courts located in Stanislaus County, California, and both parties consent to that jurisdiction.
